Terms and Conditions of Service of Service

The following Terms and Conditions of Service relate to the following HostSearch.com advertising programs (collectively known as "Advertising Programs"):

1) HostSearch Bidding System

2) Host Promotion Bidding System

3) Host Quote Program

The provider of the Advertising Programs ("Clicksee Network"), and their participants ("The Customer"), recognize the following Terms and Conditions of Service as an agreement relating to usage and management of HostSearch.com's Advertising Programs. Specifically, the following is acknowledged:

Management of Advertising Programs

1. HostSearch Advertising Programs are based on Pay Per Click technologies ("PPC Technologies") that require The Customer to make advanced credit card payments to Clicksee Network. The Customer authorizes Clicksee to make charges to The Customer's credit card on this basis.

2. The Customer acknowledges that tracking payments against the provision of Advertising Programs is the sole responsibility of Clicksee Network. 

3. Some HostSearch Advertising Programs rely on bidding activity to improve the position of The Customer's advertising. Should a dispute over advertising position occur, Clicksee Network will not reveal the details of payments made by any advertiser or provide customer enquiry details as a means of resolving a dispute.

4. The Customer acknowledges that tracking how payments impact the position of advertising is based on the amount paid and that Clicksee Network has final decision on advert position. The Customer also acknowledges that tracking the number of enquiries for hosting services The Customer responds to is the sole responsibility of Clicksee Network.

Nonpayment of Dues and Disputed Charges

1. Where The Customer disputes charges made by Clicksee Network the customer will notify Clicksee Network within 10 days of receipt of a disputed charge. Failure to notify Clicksee Network of a dispute in this period will render the dispute invalid.

2. Where The Customer does not meet agreed payments (for example, should The Customer's financial institution fail to honor credit card payments, or the customer cancels a credit card, or similar) Clicksee Network has the right to suspend or terminate The Customer's advertising. In addition, The Customer will remain liable to make full payment to Clicksee Network.

3. Where any payment by The Customer for any reason does not meet the amount charged by Clicksee Network, Clicksee Network has the right to suspend or terminate The Customer's advertising. Likewise, The Customer will remain liable to make full payment to Clicksee Network.

4. Should The Customer's advertising be suspended as a result of nonpayment, or partial payment, any credits, promotions, discounts or other benefits provided to The Customer are rendered invalid. 

5. Where nonpayment of dues occurs, Clicksee Network shall charge a late fee of 1% of the total cost of the advertising per month, or the highest amount possible by law, should the law only allow charges of less than 1%. 

6. The Customer will be liable for legal fees relating to Clicksee Network's attempts to retrieve unpaid dues from The Customer. 

General

1. The Customer acknowledges that refunds are not provided except at the sole discretion of Clicksee Network. 

2. Advertising Programs are featured on HostSearch.com, a number of Clicksee Network websites, and a number of third party websites. The Customer acknowledges that Clicksee Network has the right to decide where the Advertising Programs (and the details/advertising they include, including The Customer's details/advertising) should appear (i.e. which websites they should appear on).

3. Clicksee Network works under the assumption The Customer's website contains legal content. Clicksee Network should not be held responsible for linking to the The Customer's website should its content not be legal. If The Customer's website proves to contain illegal content, Clicksee Network will terminate The Customer's advertising immediately. 

4. Clicksee Network will make timely notifications of all financial transactions related to The Customer at the email address associated with The Customer's HostSearch.com account.

5. The Customer acknowledges that all advertising services will be terminated should The Customer's HostSearch.com account be void of funds, or contain a sum of money that makes active advertising (making bids, responding to visitor hosting enquiries, etc.) impossible.

6. Should The Customer use bots, scripts, or any other electronic means to influence the adverting service provided by Clicksee Network, The Customer's advertising will be terminated. 

7. In case of a dispute The Customer agrees not to reveal the nature of the dispute to any third-party, unless required to do so by law.

8. Clicksee Network reserves the right to modify Advertising Programs without requiring consent from the customer and without refund to The Customer.  

9. Where Clicksee Network discontinues Advertising Programs, the balance of funds remaining in The Customer's account will be refunded upon The Customer's request provided to Clicksee Network with 10 days of notification of discontinuation of Advertising Programs. 

10. The Customer agrees to inform Clicksee Network immediately should a breach of security knowingly exist (i.e. user name and password become known to a third-party, etc.). 

11. The Customer will be liable to pay for any advertising generated through The Customer's account as a result of any unreported security breach.

12. It is The Customer's responsibility to ensure The Customer's advertising and products and services listed on HostSearch.com are updated and remain relevant. Clicksee Network cannot be held responsible for adverting that does not properly reflect The Customer's current products and services.

13.  Advertising that directly or indirectly promotes the products and/or services of a third party will be terminated without refund.

14. Clicksee Network acknowledges that the text, logo and graphics contained in The Customer's advertising remain the property of The Customer. 

15. The Customer is entitled to terminate advertising upon written request. Written notification of termination of advertising by The Customer does not entitle The Customer to a refund of any balance of advertising fees available in The Customer's account. 

Confidentiality

1. The Customer agrees to keep confidential any information relating to Clicksee Network's provision of Advertising Programs, or any Clicksee Network intellectual property, gathered as a result of entering into this agreement or being involved in HostSearch.com's Advertising Programs. 

2. Clicksee Network agrees to keep confidential any information relating to The Customer as a result of their provision of Advertising Programs. 

Interruption of Service

1. The Customer acknowledges that Clicksee Network does not guarantee against interruption of service for any reason including 'act of God', terrorism, or any other reason.

2. No claims can be made for loss of revenue, income, profit, goodwill, reputation or other as a result of interruption of service.

Legal Recourse

1. In the case of unresolved dispute, recourse will be made to the legal system of the United States of America.

2. Where any of the Terms and Conditions of Service stated in this electronic document conflict with the laws of the United States of America, the latter shall prevail.

Representation

1. Checking "I've read and accept the above terms and conditions" means entering into a formal agreement with Clicksee Network based on the details of this electronic document.

2. Electronically accepting these Terms and Conditions of Service by checking "I've read and accept the above terms and conditions" assumes the account holder has the authority to enter into a formal agreement with Clicksee Network.

3. The Customer may not represent Clicksee Network in any fashion as a result of entering into this agreement with Clicksee Network.
